The sequence is not completely linear. Early technical screening should expose conflicts before rent, purchase price or construction commitments become difficult to reverse.

  • 01Corporate and tax structure. Establish the appropriate Malaysian operating entity, ownership, resident-director arrangement, registered office, banking and tax plan.
  • 02Manufacturing and sector approvals. Determine the MIDA manufacturing licence or exemption path and identify activity-specific authority requirements.
  • 03Factory requirement. Translate the process into built-up area, clear height, floor loading, power, utilities, container flow, workforce and expansion needs.
  • 04Property and technical due diligence. Screen industrial use, title, CCC, fire systems, structure, utility capacity, access, upgrade scope and agreement conditions.
  • 05People and mobility. Plan Malaysian hiring, expatriate roles, employment passes, commuting, accommodation and the timing needed before commissioning.
  • 06Fit-out and production readiness. Coordinate design, submissions, equipment, utility connection, testing, licences, safety systems, handover and launch.

Company incorporation — SSM

SSM states that a Malaysian private company requires at least one director ordinarily resident in Malaysia. A company secretary must be appointed within 30 days after incorporation.

MIDA states that manufacturers with shareholders' funds of RM2.5 million or more, or 75 or more full-time paid employees, must apply for a manufacturing licence. Companies below both thresholds may apply for exemption.
